As one of our industry-focused Market Offerings, M&A Transaction Services assists private equity investors and corporate clients with the accounting, tax and business advisory services that support mergers, acquisitions, investment and financing structures, divestitures and post-transaction activities.   The Deloitte Entities are recognized as the marketplace leader among the large professional services firms in advising companies involved in M&A transactions.  Our clients include many of the most prestigious private equity financial buyers and many significant strategic corporate buyers as well as mid-size PEIs and corporate clients acquiring or divesting assets.   Opportunities exist in our M&A Services Market Offering for experienced, high performing audit senior consultants to contribute to the preeminent M&A transaction services practice as it executes on its strategic firm priorities and capitalizes on its strong position for growth as the M&A markets continue to rebound.  Professionals will achieve this by leading and assisting in a broad range of transaction-related services such as:   -Identifying potential "deal breakers", industry, country and deal-specific risks and opportunities -Evaluating a target's historical and projected earnings and cash flows -Identifying a target's hidden contingencies, commitments, and tax exposures -Assessing a target's quality of assets and internal control structure -Evaluating proposed deal structures and terms -Reviewing and commenting on financial, accounting, and tax considerations in investment models -Commenting on bank finance agreements and public debt offering documents -Assisting in structuring purchase price adjustment mechanisms and other relevant protections in stock purchase agreements -Identifying integration and post-transaction transition issues -Assisting with divestiture strategy, planning and execution   Specific Responsibilities Include:   -Provide the opportunity to further develop strong analytical skills and to enhance the ability to identify and evaluate business, industry, financial, accounting and tax risks related to transactions -Provide the opportunity to further develop strong proficiency in decision making with the appropriate level of research and consultation -Obtain additional knowledge and high-level experience related to the application of transaction related agreements, professional, legal and regulatory literature and procedures applicable in the local market place to ensure appropriate risk management -Experience orchestrating a multi-disciplinary team of highly talented professionals while delivering the firm across the M&A lifecycle -Understand our leading edge approach to due diligence and deal process    Professional and Technical Responsibilities:   -Contribute to a strong client relationship through interactions with client personnel -Understand engagement as it relates to client's business -Demonstrate knowledge in some areas of industry or functional specialty -Perform technical research on complex accounting issues -Contribute to engagement planning and ensuring that products/deliverables meet contract work plan -Deliver services that meet Deloitte & Touche's task leader specifications -Assume responsibility for components of engagements and may have greater role on small engagements -Writing of various reports related to engagements -Bachelor's Degree in Accounting, Finance or related area required -Advanced degree is a plus -CPA or related certification required -3+ years of audit, financial reporting and analysis or related accounting experience required -Knowledge of IFRS and US GAAP standards is a plus (e.g. IAS 39, IAS 32, FAS 133, FAS 157, FAS 140, FIN (46(R)), FAS 159) -Prior public accounting or consulting experience is preferred -Proficiency in MS office products, including Excel, Word and PowerPoint is required -Strong verbal and written communication skills -Analytical and detail oriented -Ability and willingness to travel 75%
