Position Objective The Regional Control Group Officer will serve as the deputy manager for the regional control group. The Control Group is a unit responsible for developing and implementing information barriers and control devices, generally referred to as Chinese Walls, that are reasonably designed to prevent and detect the misuse of material nonpublic information within the Markets & Banking ("CMB"). The Control Group advises a broad range of CMB's businesses by identifying risks or potential Chinese Wall issues, being creative problem solvers, mindful of the responsibility for identifying legal, regulatory and reputational risks and formulating alternatives to achieve the objectives of the CMB, while ensuring that the Chinese Wall policies are enforced. Another key mandate of the Control Group is to ensure research reports published by the CIR business (i.e., Citi Institutional Research) is in accordance with U.S. and relevant local rules, and Citi's Research Independence Policies and Procedures. The Asia Pacific Control Group has involvement in 16 jurisdictions within Asia Pacific. The group provides specialised advice and assistance across potentially all aspects of Investment and Corporate Banking and Capital Markets, focusing on issues relating to Chinese Walls, Confidentiality procedures and Conflicts Clearance. The Asia Pacific Control Group is part of the Asia Pacific Legal Department. It works in close coordination with the other Compliance and Legal functions in Asia Pacific and on a global basis with teams in London, Tokyo, Australia and New York. Key Responsibilities: · Build strong relationship with key clients - business heads and business management in banking and research department, as well as sales and trading divisions; deliver solutions to business problems and new business needs. · Help manage a team of 6 staff or more to ensure smooth operation. · Maintain Citigroup's Chinese Wall policy designed to control information flow by separating public-side personnel (e.g., research, sales and trading) from private-side personnel engaged in investment banking or other advisory activities. · Provide oversight to the review of research reports from any/all CIR regions in accordance with U.S. securities laws and relevant local laws, as well as Citi's Research Independence Policies and Procedures. · Advise on legal/regulatory issues in relation to the publication of a new research product or publication in a new jurisdiction. · Maintain daily interaction with various equity trading desks, fixed income trading desks and Private Client Services representatives to provide transactional advice in restricted list securities. · Facilitate wall crossings; monitor communications between Investment Banking Division and public side staff. · Work closely with Bank Loan Desk, Bank Debt Desk, and Special Situations Investing to provide clearance to trade bank debt and loans · Review and provide relief to trading issuers on the firm's restricted trading list, in coordination with S&T Compliance or country compliance officers as necessary. · Provide oversight to the conflict clearance review, which entails reviewing potential client conflicts within the firm across business lines (Banking, Trading, Private Equity.etc.), and liaising with the various businesses at times to resolve any potential conflicts. · Participate in business selection meetings as required to determine which projects the Markets & Banking may initiate. · Maintain a centralized database for conflict checks worldwide. · Review internal marketing materials for capital markets transactions · Provide ad-hoc advisory services to the business, and work with the rest of the group to identify and implement Chinese wall procedures throughout the Firm, including drafting procedures and training relevant business groups. This advisory-role entails a high degree of interaction with Senior Management and requires excellent writing and speaking skills. · Provide cross coverage to other control group staff as required Knowledge / Experience: · Previous experience with a major investment bank, and, in particular, prior Control Room exposure. · Alternatively, the role is also suitable for deal lawyer who is looking for a change or to an in-house position who wishes to work more closely with the business. The ideal candidate will have at least 7 years of experience in legal/compliance/regulatory and related issues involving securities law at a major law firm, financial institution or a regulator. · Familiarity with US, UK, Hong Kong or other AP jurisdiction securities regulations is desirable. Skills and Competencies: · The individual must possess excellent interpersonal and client service skills as well as have the ability to work very closely and confidently with many different levels of management on the business side. · Strong negotiation, analytical and organizational skills are also necessary. The successful candidate will face business managements to assist in problem resolution and need to multi-task while working on long-term projects. · The candidate should be a fast thinker/quick learner and possess the ability to work effectively under pressure in a rapidly changing environment in order to meet deadlines. · She or he will also need to be able to work autonomously as an effective member of a dynamic team.
